Nonprofits

The companies that are interested in obtaining “nonprofit” status are usually charities, because they have no plan of making profits, and will donate all profits to other entities. This is why these companies file for legally becoming nonprofits so that they can request to have their taxes spared.
Once your organization becomes exempt from taxes, the federal and state governments document your donations as non-taxable. People who create a nonprofit are working for a bigger cause, or are striving to make the world a better place. We are sure that many of the attorneys available at TrademarkCounsels.com would love to assist them in making this noble dream of theirs a reality. Our legal experts can guide you through the filing process and save you the trouble of undertaking this task all by yourself.

Is a Nonprofit Corporation the Right Choice for You?

Nonprofits work for the betterment of the world, and they are created for selfless purposes such as education, religion, or charity.

Some popular nonprofit businesses include:

·         Hospitals

·         Schools/Universities

·         Museums

·         Churches

·         Food Banks

·         Homeless Shelters

·         Animal Shelters

Pros:

Once an organization becomes nonprofit, it enjoys many advantages. Some of them are listed below.

·         Tax-free Donations:
Individuals can make any number of charitable donations that will not be taxed after the organization is declared to be tax-free.

·         Discounts:
Another benefit of forming a nonprofit is that the organization can collect discounts on advertising rates and postage. This results in the organization operating efficiently even on a low budget.

·         Legal Protection:
The owners and employees of such nonprofit organizations also enjoy the benefit of increased legal protection. This means that the owners and founders will not be personally liable for a nonprofit’s debts or liabilities. The employees are granted health and retirement plans even if the company does not officially hold the 501c3 status.

·         Success:
If a charitable organization legally becomes a nonprofit, its objectives become a lot more reachable and doable. Instead of directing a large portion of their resources toward taxes, they can use them to further their cause.
Cons:

There are also a few disadvantages to becoming a nonprofit.

·         Expensive and time-consuming:
Nonprofits can cost a lot of money and time initially.

·         Subjected to Public Scrutiny:
A nonprofit serves a public cause, which is why it is constantly under the public eye. You will need to keep outstanding records in case the organization is ever questioned or wrongfully accused.

Types of Nonprofit Companies

In the United States, four main types of non-profits exist. Irrespective of each nonprofit’s goals and structure, each type is eligible to attain a tax-free status. The four types of nonprofits are:

1.      Public Charities
A public charity receives funds (also known as donations) from the public and offers free services or low costs to the public. These funds can be acquired through fundraising events or private donations.

2.       Social Advocacy Organizations
Social Advocacy Organizations are made up of members whose aim is to attain certain objectives without achieving any profit. This type of nonprofit encourages a specific social agenda by using donations and member dues.

3.      Foundations

Foundations strive to improve a community by financially supporting local charities or by arranging events that are advantageous for residents. These foundations are funded by for-profit organizations.

4.      Trade and Professional Organizations

Trade and Professional Organizations are for the well-being of people working for that organization and are funded through member dues. Political parties can also apply for a tax-free status but they do not represent the standard nonprofit classification.

The attorneys at Trademark Counsels can help you decide which of these categories fits your business model best, and draw up any and all documents required for the registration process. You can ask to be connected to an attorney on live chat.

Requirements for Becoming a Nonprofit Corporation

1.      Pick a name/title for your organization:

You will have to choose a name or title for your nonprofit corporation. Check the availability of the name you choose. This can be done by conducting standard clearance searches.

2.      Detailed file paperwork:

You will have to register and file nonprofit Articles of Incorporation with a suitable state agency and pay the mandatory state filing fees. Paperwork and fees differ from state to state.

3.      File for a tax-free status:
The IRS must approve the nonprofit organization for it to acquire tax-free status. The application procedures in each state may vary.

4.      Design bylaws and receive a license:
Bylaws report the nonprofits’ purpose and give an outline of the functioning rules. These rules must include:

·         The process of the election of directors and what power they have.

·         Where, when, and how the director’s meetings will be held.

·         How the decision of whether a meeting will be held or not will be made

·         Responsibilities and obligations of officers.

For more information contact your state department.

5.      Select directors and start with the first meeting:
The officers of a corporation include a president, a secretary, a treasurer, etc. The most important points to discuss and do in a meeting are as follows:

·         Creating Bylaws

·         Election of officers

·         Select your headquarters

·         Name a business bank account

·         Settle on the accounting period

·         Record the proof of tax-free status

Meetings must be documented in corporate books, and board meetings must be held annually.

How can Nonprofits achieve 501c3 Status?

Nonprofits can also achieve 501c3 status by IRS, given that they fulfill a rigid set of requirements. These requirements include:

1.      Appointing an individual to the board of directors. The board will be responsible for making major decisions regarding the non-profit corporation.

2.      A purpose statement must be designed and the organization must function pursuant to the specifications mentioned. Purposes that will be acknowledged are educational, literary, against animal or children cruelty, charitable, and scientific.

3.      In case of termination of the nonprofit, the assets must be allocated to charities. This statement will be written in the Articles of Incorporation as a dissolution statement.

4.      Other procedures include paying fees, registering locally as a business, etc.

It would be wise to consult a legal counsel before applying for any of the aforementioned categories of nonprofits. The attorneys at Trademark Counsels can streamline this tedious process for you.
